1. Agreement to Terms

By accessing or using Token Counter ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Token Counter provides a token counting tool that allows users to calculate the number of tokens their prompts will consume across various AI models. The Service includes:

• Token counting for 50+ AI models (OpenAI, Anthropic, Google, Meta, etc.)
• Historical tracking of token usage
• Dashboard with analytics and insights
• Prompt saving and organization features
• Cost estimation based on current AI pricing

The Service does not make actual API calls to AI providers and does not require users to share their API keys.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Be responsible for all activities that occur under your account

You must be at least 13 years old to use this Service. If you are under 18, you represent that you have parental consent to use the Service.

4. Data Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our data practices as described in the Privacy Policy.

Key privacy features include:

• No API keys are stored - all counting is done locally
• Your prompts are stored securely in your account history
• You can delete your data at any time
• We never sell your personal information

5. Usage Limits

We may establish general practices and limits concerning use of the Service, including:

• Maximum number of token counts per day
• Maximum storage limits for saved prompts
• Maximum history retention period

We reserve the right to modify these limits at any time. Free accounts may have different limits than paid accounts.

6. Prohibited Uses

You may not use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to the Service
• Use the Service for any illegal or unauthorized purpose
• Impersonate any person or entity

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Token Counter and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not modify, reproduce, distribute, create derivative works of, publicly display, or commercially exploit any part of the Service without our express written permission.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service, or the information, content, and materials included therein.

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The results of using the Service will meet your requirements
• Token counts are 100% accurate (though we use official tokenizers)

10. Limitation of Liability

In no event shall Token Counter be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use or alteration of your transmissions or content

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
